Welcome to Awake Solutions. These Terms and Conditions (“Agreement”) govern your access to and use of our comprehensive suite of services, including our websites, cloud-based platforms, SaaS applications, software tools, internal solutions, and any associated documentation or resources (collectively, the “Services”). By accessing or using our Services, you expressly agree to comply with and be bound by this Agreement in full.

Our Services encompass a wide range of products, including collaboration platforms, internal business tools, cloud-hosted software, website design and management systems, and analytical solutions. Each of these products operates under a unified framework of terms to ensure clarity, consistency, and fairness for all users.

This Agreement establishes the legal and operational relationship between you (“User” or “Customer”) and Awake Solutions (“Company”) and applies to all users, whether accessing the Services as registered users, trial participants, or visitors. It sets forth your rights and responsibilities, including acceptable use, access rights, licensing, and compliance obligations, as well as the Company’s responsibilities to maintain service quality, security, and transparency.

By engaging with our Services, you acknowledge that you have carefully read, fully understood, and agree to abide by all terms contained herein. If you do not agree with any provision of this Agreement, you must immediately cease using the Services.

The purpose of this introduction is to provide clarity regarding the scope, purpose, and legal framework of your engagement with Awake Solutions. It emphasizes our commitment to secure, ethical, and transparent service delivery, while ensuring that users are informed of their rights and obligations. Through this Agreement, we aim to foster trust, protect both users and the Company, and establish a clear, professional foundation for the use of our diverse range of IT products and services.

 

1. Definitions

  • Authorized Devices: Refers to the mobile phones, tablets, desktop computers, or any other electronic devices that have been explicitly authorized by the Customer to access and use Awake Solutions’ Services. The use of such devices is subject to compliance with the security, usage, and operational policies defined by Awake Solutions, ensuring that data integrity and service reliability are maintained at all times.

 

  • Content: Encompasses all materials, data, code, graphics, documentation, media, designs, and intellectual property created, uploaded, or imported by the Customer or its Users while using the Services. This includes materials stored on our cloud infrastructure, generated through internal tools, or incorporated into websites, SaaS applications, or other platforms provided by Awake Solutions.

 

  • Documentation: Represents all technical and operational guides, manuals, tutorials, and written instructions made available by Awake Solutions to the Customer or Users. Documentation may be provided in digital or physical format and is intended to facilitate the correct and secure use of the Services, ensuring proper configuration, troubleshooting, and compliance with best practices.

 

  • Services: Covers all proprietary products, tools, platforms, applications, and software solutions offered by Awake Solutions, whether delivered via web, desktop, or mobile environments. Services include cloud-hosted applications, SaaS platforms, internal enterprise tools, collaboration software, analytical solutions, and any future services that may be made available under the Awake Solutions brand.

 

  • Order Form: Refers to the contractual document signed by both the Customer and Awake Solutions which outlines the specific Services, subscription levels, packages, or components being provided. The Order Form defines service scope, licensing, usage limits, and associated fees.

 

  • Packages and Components: Represents optional modules, extensions, or add-ons within the Services ecosystem that enhance functionality or offer additional features. Packages and Components may be developed internally by Awake Solutions or by third-party providers. Their use is subject to the terms of this Agreement, and Awake Solutions provides support for third-party modules to the extent reasonably possible.

 

  • User: Any individual, employee, contractor, or representative of the Customer who has been provisioned with access credentials or permissions to use the Services. Users are responsible for complying with all applicable policies, and the Customer is accountable for all activities performed by its Users within the Services environment.

 

  • Customer Data: Refers to all data, information, content, and materials inputted, uploaded, or generated by the Customer or its Users within the Services. This includes personal information, business-related data, project files, analytical insights, and any other materials that are stored or processed using Awake Solutions’ platforms. Awake Solutions maintains the confidentiality and integrity of Customer Data in accordance with this Agreement and applicable privacy policies.

 

  • General Users: Individuals who interact with the Services but are not authorized Users or internal employees, such as trial users, public users accessing limited features, or participants in community or testing programs. General Users must comply with applicable terms of service and usage guidelines.

 

  • Administrator: A designated User with elevated permissions to manage other Users, configure settings, control access rights, and oversee Service usage for the Customer organization. Administrators act as the primary point of contact for operational and technical coordination with Awake Solutions.

 

  • Third-Party Providers: External entities or service providers that support, host, or integrate with the Services, including cloud infrastructure providers, payment processors, analytics tools, and other software integrations. Use of Third-Party Providers is governed by this Agreement and any applicable privacy or security requirements.

 

  • Account: A record within the Services that identifies the Customer or User and contains authentication credentials, profile details, preferences, and associated activity logs. Accounts are subject to terms for authorized access, protection of credentials, and responsible use.

 

  • Subscription: The agreement or arrangement under which the Customer accesses specific Services for a defined period, including any recurring payments, usage limits, and associated Service tiers or features. Subscription terms are defined in the Order Form and governed by this Agreement.

 

2. Use of Products

2.1 Permitted Use
Subject to this Agreement and during the active subscription or contractual term, Awake Solutions grants the Customer and its authorized Users a limited, non-exclusive, non-transferable, worldwide right to access and use Awake Solutions’ Products and Services strictly for the Customer’s internal business operations. Such use shall be in full compliance with the applicable Documentation, technical guidelines, and security protocols provided by Awake Solutions.

Users may utilize the Products for creating, deploying, and managing digital assets, SaaS applications, cloud-hosted platforms, and enterprise solutions, provided that such activities remain aligned with the scope of services outlined in the applicable Order Form. Any permitted use also extends to accessing support, updates, and advisory services made available by Awake Solutions during the term of this Agreement.

 

2.2 Restrictions
Except as expressly authorized in writing by Awake Solutions, the Customer must not, and shall not permit any User, contractor, or third party to:

(a) rent, lease, sublicense, or commercially distribute the Products as standalone offerings outside of the Customer’s business environment;

(b) provide or resell direct access to the Products to third parties who are not Users or Affiliates

(c) use the Products as part of a competing platform, service bureau, outsourcing arrangement, or white-label solution that directly competes with Awake Solutions;

(d) attempt to reverse engineer, decompile, disassemble, or otherwise seek unauthorized access to source code, proprietary algorithms, or non-public APIs within the Products;

(e) modify, alter, or create derivative works of the Products except as permitted within documented customization frameworks or integration modules provided by Awake Solutions;

(f) interfere with, disable, or bypass security features, licensing controls, or usage limitations embedded within the Products;

(g) remove, obscure, or alter intellectual property notices, trademarks, or attributions displayed within the Products;

(h) utilize the Products for any unlawful, harmful, fraudulent, or abusive activities, including the distribution of malicious code, unauthorized data mining, or activities violating applicable data protection laws;

(i) integrate or combine the Products with third-party tools or platforms in ways that compromise Awake Solutions’ security, service performance, or intellectual property rights.

 

2.3 Customer Responsibilities
The customer remains fully responsible for ensuring that its Users, employees, and representatives comply with these Terms and all applicable usage restrictions. The customer is solely accountable for any misuse, violations, or damages resulting from unauthorized access or use of the Products. Awake Solutions reserves the right to suspend or restrict access to Services if it reasonably suspects misuse, fraudulent activity, or violations of this Agreement.

 

2.4 Continuous Improvements
Awake Solutions may enhance, update, or modify its Products and Services on an ongoing basis to improve functionality, security, and compliance with industry standards. Such updates will be automatically applied unless otherwise specified, and continued use of the Products by the Customer shall constitute acceptance of the updated features and policies.

These usage terms are designed to ensure that Users utilize Awake Solutions’ Products in a manner that is secure, ethical, and aligned with the intended purpose of the services provided. By adhering to these guidelines, Users help maintain the integrity, reliability, and innovation that Awake Solutions strives to deliver.

 

3. License and Use Rights

3.1 Scope of License

Awake Solutions (“the Company”) grants you a limited, non-exclusive, non-transferable, and revocable license to access and use its products, platforms, and services strictly in accordance with these Terms. This license is provided exclusively for lawful and legitimate purposes, whether personal, commercial, or organizational, depending on the type of subscription or agreement you have with the Company.

You are authorized to use the Services only within the scope defined by your subscription or contractual arrangement and in compliance with all applicable laws and regulations. This license does not confer any ownership rights, and all intellectual property rights, including copyrights, trademarks, and patents associated with the Services, remain the sole property of Awake Solutions or its licensors.

The Company reserves the right to modify, update, suspend, or revoke this license at any time if you fail to comply with these Terms, misuse the Services, or engage in activities that may harm the integrity, security, or functionality of the Services or the experience of other users.

By using the Services, you acknowledge that your license is conditional and subject to these limitations, and that any enhancements, updates, or modifications provided by the Company are included within the scope of this license unless explicitly stated otherwise.

 

3.2 Ownership

This license does not transfer any ownership rights to you. All intellectual property, proprietary rights, trademarks, service marks, trade secrets, software, documentation, data, and content provided through or associated with the Services remain the exclusive property of Awake Solutions and its licensors. You acknowledge and agree that no title or ownership in the Services or any related materials is transferred to you by virtue of this license, and that the Company and its licensors retain all rights, including but not limited to copyright, patent, trademark, and other proprietary rights.

You further agree not to remove, obscure, or alter any notices of ownership, trademarks, or other proprietary markings contained within the Services, and you may not reproduce, distribute, reverse engineer, or create derivative works from the Services except as expressly permitted under this license or by applicable law. All rights not expressly granted to you are expressly reserved by Awake Solutions and its licensors.

 

3.3 Permitted Use

You may use the Services solely in their intended and authorized manner, consistent with the purpose for which they are provided. This includes, but is not limited to, accessing and interacting with platform features, utilizing licensed tools and functionalities, downloading or printing limited resources strictly for internal or personal use, and integrating with third-party systems via approved APIs, plugins, or extensions where explicitly permitted by the Company.

Your use of the Services must comply with these Terms, applicable laws, and any usage guidelines provided by the Company. You agree not to exploit the Services beyond the scope of this permitted use, including any activity that could degrade the performance, security, or integrity of the Services or disrupt the experience of other users. All rights to restrict, monitor, or modify the permitted use of the Services remain solely with Awake Solutions.

 

3.4 Restrictions

You shall not copy, reproduce, distribute, sublicense, lease, resell, modify, adapt, translate, reverse-engineer, decompile, disassemble, or attempt to derive the source code from the Services or any related software, except to the extent expressly authorized in writing by the Company. You are prohibited from using the Services to create derivative works, circumvent security or access controls, exploit vulnerabilities, or otherwise interfere with the integrity, performance, or functionality of the Services.

Any unauthorized use, duplication, or modification of the Services or its components may violate intellectual property laws and result in civil or criminal liability. You also agree not to use the Services in a manner that could harm the Company, its affiliates, or other users, including but not limited to introducing malicious code, overloading the Services, or attempting to gain unauthorized access to other accounts, systems, or networks. All rights not expressly granted under these Terms are reserved by Awake Solutions and its licensors.

 

3.5 Prohibited Activities

You must not use the Services for any unlawful, fraudulent, malicious, or otherwise unauthorized purposes. Prohibited activities include, but are not limited to, engaging in data scraping or harvesting, infringing upon the intellectual property rights of the Company or third parties, attempting unauthorized access to the Company’s systems, networks, or user accounts, distributing viruses, malware, or other harmful code, and exploiting the Services for competitive, commercial, or personal gain in violation of these Terms.

You also agree not to use the Services to harass, threaten, or harm other users, interfere with the normal operation of the Services, or circumvent any security or access controls implemented by the Company. Any violation of these restrictions may result in immediate suspension or termination of your access, legal action, and liability for damages incurred by the Company or third parties.

 

3.6 Conditions of Use

The license granted to you is strictly conditional upon your ongoing compliance with these Terms. Your right to access and use the Services depends entirely on adherence to all applicable rules, obligations, and restrictions set forth herein. Awake Solutions reserves the right, at its sole discretion, to suspend, limit, or terminate your access to the Services immediately and without prior notice if it determines that you have misused the Services, violated these Terms, engaged in prohibited activities, or otherwise breached any conditions of use. Upon such suspension or termination, you must cease all use of the Services and destroy or return any materials, data, or content obtained through the Services as instructed by the Company. The Company also reserves the right to pursue any legal or equitable remedies available to enforce compliance and protect its rights, intellectual property, and the security of the platform.

 

3.7 Updates and Modifications Awake Solutions may, at its sole discretion, update, modify, enhance, or discontinue any part of the Services at any time, including features, functionality, content, or tools. Such updates may include improvements, bug fixes, security patches, or changes to the way the Services are accessed or delivered. Your continued use of the Services following any such changes constitutes your acceptance of the updated or modified license terms and confirms your agreement to comply with them.

The Company is under no obligation to provide advance notice of updates or modifications, although it may communicate such changes through the platform, email, or other means. Updates and modifications are considered part of the Services and remain subject to the same license, restrictions, and conditions as originally granted, unless explicitly stated otherwise by the Company.

 

3.8 Termination of License

Awake Solutions (“the Company”) may, at its sole discretion, revoke or terminate your license to access and use the Services immediately upon any breach of these Terms or if you engage in prohibited, unauthorized, or unlawful activities. Upon termination, you must immediately cease all use of the Services and delete, remove, or destroy any copies of materials, content, or data obtained from the Services in your possession, whether digital or printed.

Any violation of this agreement may expose you to civil or criminal liability under applicable laws, including but not limited to claims for damages, injunctive relief, or other legal remedies pursued by the Company or its licensors. You acknowledge that the Company reserves all rights to enforce its legal and equitable remedies to the fullest extent permitted by law in the event of misuse or breach of the license.

This License and Use Rights section ensures that while users have the ability to access and benefit from Awake Solutions’ Services, they do so under clear boundaries designed to protect the integrity, security, and intellectual property of the Company. Unauthorized or unlawful use will result in immediate action, including suspension or permanent termination of access without liability on the part of Awake Solutions.

Users are responsible for ensuring that their use of the Services complies with all applicable laws, regulations, and contractual obligations. Any breach of these Terms, including prohibited activities such as reverse engineering, redistribution, or unauthorized access, may expose users to civil or criminal liability, in addition to the revocation of their license.

The Company retains the right to monitor compliance, enforce its intellectual property rights, and take legal action to prevent misuse, safeguard its platform, and protect the experience of other users. By using the Services, users acknowledge and agree to these conditions and understand that maintaining the security, confidentiality, and proper use of the platform is a shared responsibility between the Company and its users.

 

4. Users

4.1 Responsibility

Customer may authorize Users to access and use the Services in accordance with the Documentation and the Customer’s Scope of Use. The customer remains fully responsible for ensuring that its Users comply with this Agreement and all applicable laws and regulations. This includes, but is not limited to, all activities undertaken by Users, any Orders they place, apps or Third-Party Products they enable, and the manner in which they access, use, or share Customer Data.

The customer acknowledges that it is responsible for maintaining oversight and control over User activities and must implement appropriate internal policies, procedures, and security measures to prevent misuse, unauthorized access, or other violations of these Terms. The Company reserves the right to hold the Customer accountable for any breach or improper use of the Services by its Users, and the Customer agrees to take all reasonable steps to mitigate risks associated with User access and activity.

 

4.2 Login Credentials

Customer must ensure that each User maintains the confidentiality and security of their login credentials, including usernames, passwords, and any multi-factor authentication methods associated with the Services.

The customer is responsible for all activities conducted under its Users’ accounts and for safeguarding access to the Services.

If the Customer becomes aware of any unauthorized access, use, or disclosure of User login credentials, it must promptly notify the Company and take immediate steps to prevent further unauthorized use. The customer agrees to implement appropriate security measures, including password management policies and access controls, to minimize the risk of unauthorized access or compromise of the Services.

Failure to maintain the security of login credentials may result in suspension or termination of access, and the Customer remains liable for any resulting misuse or breach.

 

4.3 User Conduct

Users must comply with all applicable laws, regulations, and the Terms of this Agreement at all times. Users are strictly prohibited from using the Services for any unlawful, fraudulent, or harmful purpose, including but not limited to spamming, distributing malware, phishing, attempting unauthorized access, or exploiting vulnerabilities in the Company’s systems.

Users must act responsibly, ethically, and in good faith while accessing the Services, ensuring that their activities do not compromise the security, integrity, or performance of the platform, interfere with other users’ access, or disrupt the normal operation of the Services. Users are also prohibited from engaging in any activity that could damage the Company’s reputation or facilitate illegal, malicious, or unethical conduct.

The Company reserves the right to investigate any suspected violations, and to take appropriate action, including suspension, restriction, or termination of access, and may pursue any legal remedies available for breaches of this section. Users acknowledge that compliance with these rules is essential to maintain a safe and reliable environment for all customers and participants.

 

4.4 Access Control

Customer is fully responsible for managing access levels and permissions for its Users and ensuring that each User only has access to the features, tools, and data they are explicitly authorized to use. The customer must implement appropriate internal controls, including role-based access, user authentication, and periodic review of permissions, to prevent unauthorized access or misuse of the Services. Any actions taken by Users within their assigned permissions are considered the responsibility of the Customer. The Company reserves the right to limit, suspend, or revoke access for any User if it determines that access controls are being mismanaged, that Users are exceeding authorized permissions, or if there is a risk to the security or integrity of the Services. Maintaining proper access control is essential to protect sensitive data, ensure compliance with these Terms, and safeguard the overall performance of the platform.

 

4.5 Termination or Suspension of Users

The Company reserves the right to suspend or terminate access for any User who violates these Terms, engages in prohibited or unauthorized activities, or poses a security risk to the Services, other Users, or the Company’s systems. Such action may be taken immediately and without prior notice if the Company determines that a User’s activity compromises the integrity, security, or functionality of the platform.

The customer is responsible for promptly revoking access for any Users who are no longer authorized to use the Services, including those whose employment, association, or permission to access the Services has ended. Failure to properly manage User access may result in the Customer being held accountable for any misuse or breaches caused by its Users.

We retains the right to take any additional measures necessary to protect the platform and enforce compliance with these Terms.

 

4.6 Monitoring and Auditing

The Company may monitor usage of the Services to ensure compliance with these Terms, maintain the security and integrity of the platform, and detect any unauthorized or improper use. Monitoring may include reviewing activity logs, access patterns, and system interactions to identify potential violations or security risks. Users acknowledge that such monitoring is necessary to protect the Services, other Users, and Company assets. The Company may take corrective actions based on monitoring results, including notifying the Customer, restricting access, or pursuing legal remedies where appropriate.

 

4.7 Liability for User Actions

Customer is fully liable for all actions taken by its Users under its account, including any breach of these Terms, misuse of the Services, or unauthorized access to Customer Data. The customer acknowledges that it is responsible for overseeing and managing User behavior, enforcing appropriate security measures, and ensuring that Users comply with all applicable laws, regulations, and the Terms of this Agreement.

Any violations or improper use by Users may result in the Customer being held accountable for damages, legal claims, or other remedies sought by the Company or third parties. The customer must take reasonable steps to prevent misuse, unauthorized access, or any activity that could compromise the integrity, security, or functionality of the Services.

 

4.8 User Support

Awake Solutions may provide technical or operational support directly to Users, as authorized by the Customer, to assist with access, usage, or troubleshooting of the Services. However, the Customer remains fully responsible for the overall management, coordination, and supervision of its Users’ access and activities. The customer must ensure that Users receive appropriate internal guidance, training, and oversight to use the Services in compliance with these Terms. Any issues arising from misuse, unauthorized access, or actions beyond the scope of authorized support remain the Customer’s responsibility, and the Company shall not be held liable for such actions.

 

4.9 Data Privacy and Security

The customer is responsible for ensuring that all Users comply with applicable data privacy, protection, and security laws, regulations, and industry standards when accessing, storing, processing, or transmitting any data through the Services. Users must take all reasonable steps to protect the confidentiality, integrity, and availability of data, including implementing appropriate technical and organizational security measures such as access controls, encryption, and secure authentication.

The customer must ensure that data is not accessed, disclosed, modified, or destroyed by unauthorized individuals and that any data shared with or stored on the Services is handled in accordance with the Company’s policies and applicable legal requirements. Users must also follow internal policies and best practices to prevent data breaches, leaks, or unauthorized sharing of sensitive information.

Any failure by the Customer or its Users to maintain adequate data privacy and security measures may result in suspension, termination, or other enforcement actions by the Company, as well as potential legal liabilities.

The Users section outlines the responsibilities, obligations, and rights of both the Customer and its authorized Users when accessing and using Awake Solutions’ Services. Users are responsible for managing User access, maintaining login credentials, ensuring compliance with applicable laws and these Terms, and supervising all User activities, including any Orders, third-party integrations, or access to customer data.

Users must comply with all rules of conduct, follow security best practices, and avoid prohibited or unauthorized activities, while the Company may monitor usage to protect the platform and enforce compliance. Users remain liable for all actions taken by their Users, including breaches of these Terms, misuse of the Services, or unauthorized access to data.

Awake Solutions may provide support to Users as authorized by the Customer, but overall responsibility for User management, coordination, and security rests with the Customer. Additionally, Users must ensure that all Users comply with applicable data privacy and security requirements, maintaining the confidentiality and integrity of any data accessed, stored, or transmitted through the Services. Failure to comply with these responsibilities may result in suspension, termination, or other enforcement actions by the Company, as well as potential legal liabilities.

 

5. Software Products

5.1 Software License

Awake Solutions (“Company”) grants the Customer a limited, non-exclusive, non-transferable, and revocable license to access and use its Software Products, including web applications, cloud-based solutions, and AI-powered tools, strictly for internal business purposes and in accordance with the Documentation and these Terms. This license allows the Customer to use the Software Products solely within its organization or for authorized Users, and does not permit any external resale, sublicensing, or commercial distribution outside the agreed scope.

Use of the Software Products must comply with any specific limitations, subscription tiers, or feature restrictions set forth in the Documentation or agreement with the Company. Continued use of the Software Products constitutes acceptance of any updates, modifications, or enhancements provided by the Company, which may be implemented to improve functionality, security, or performance. The customer acknowledges that this license does not grant any ownership rights and that all intellectual property, software, algorithms, and AI models remain the exclusive property of Awake Solutions or its licensors.

 

5.2 Ownership and Intellectual Property

All intellectual property rights, including copyrights, patents, trademarks, trade secrets, proprietary algorithms, AI models, source code, object code, designs, documentation, and other technology associated with the Software Products, whether developed, licensed, or otherwise provided by Awake Solutions, remain the exclusive property of the Company or its licensors.

The license granted to the Customer does not transfer any ownership rights, and nothing in this Agreement shall be construed as granting any rights, title, or interest in the Software Products beyond the limited license expressly provided herein. Users may not copy, modify, distribute, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software Products, except as explicitly authorized by the Company in writing. All rights not expressly granted are reserved by Awake Solutions, and the Company retains full authority to enforce its intellectual property rights, pursue legal remedies, and take any necessary actions to protect its proprietary technology and innovations.

 

5.3 Permitted Use

Users are authorized to use the Software Products solely for internal business purposes and in accordance with the Documentation, their subscription plan, and these Terms. Permitted use includes accessing platform features, utilizing available tools and integrations, generating outputs from AI-powered modules, and interacting with the software through authorized APIs or plugins where expressly allowed by the Company.

Users may also download or print limited resources for internal reference and operational purposes. Any use beyond the scope explicitly permitted in this Agreement, including resale, redistribution, sublicensing, or external commercial exploitation, is strictly prohibited. Users must ensure that all Users adhere to these permitted use restrictions and that any integration or automation using the Software Products does not compromise the security, stability, or functionality of the Services.

Continued access and use of the Software Products indicates acceptance of these conditions and acknowledgment of the limitations imposed by the Company.

 

5.4 Restrictions

Users and their Users are strictly prohibited from engaging in any activities that violate the integrity, security, or intellectual property of the Software Products. This includes, but is not limited to, reverse engineering, decompiling, disassembling, modifying, adapting, or creating derivative works from the Software Products or any component thereof.

Users may not redistribute, sublicense, sell, lease, or otherwise transfer the Software Products or any part of the technology to third parties without the express written consent of the Company. Unauthorized access to the Software Products, including attempts to circumvent security controls, exploit vulnerabilities, or interfere with the Services’ operation, is strictly forbidden.

Users must also refrain from using the Software Products to develop competing products or for any purpose that violates applicable laws, infringes on intellectual property rights, or harms the Company, its licensors, or other Users. Users are responsible for maintaining compatibility with updated Software Products, including any required system configurations, integrations, or User access adjustments. The Company is not liable for any disruptions, data loss, or other issues resulting from updates, provided that updates are implemented in good faith and in accordance with best practices. Users are encouraged to review Documentation and release notes provided by the Company to understand the nature and impact of changes made to the Software Products.

 

5.6 Security and Compliance

The customer is responsible for implementing and maintaining appropriate security measures to protect access to the Software Products, including, but not limited to, secure authentication, role-based access controls, encryption where applicable, and regular monitoring of User activities. The customer must ensure that all Users comply with applicable laws, regulations, and industry standards regarding data privacy, protection, and usage.

Any misuse, unauthorized access, or security breach caused by the Customer or its Users may result in suspension, termination of access, or other enforcement actions by the Company. Users must also ensure that their use of the Software Products does not compromise the integrity, performance, or availability of the Services or any connected systems. Compliance with these obligations is essential to safeguard the Company’s proprietary technology, maintain platform stability, and protect the data and operations of all Users .

 

5.7 User Access and Administration

The customer is responsible for managing all Users who access the Software Products, including assigning appropriate credentials, defining access levels, and supervising their activities. The customer must ensure that each User is authorized to use the features and data permitted under their subscription or agreement and that they adhere to all applicable Terms, security policies, and usage restrictions.

Access management includes implementing secure authentication methods, regularly reviewing User permissions, and immediately revoking access for Users who are no longer authorized to use the Software Products. The customer acknowledges that any action performed by its Users within their assigned access rights is considered the responsibility of the Customer.

Failure to properly manage User access may result in the Customer being held liable for misuse, unauthorized activity, or security breaches, and the Company reserves the right to suspend or terminate User access as necessary to maintain the integrity and security of the Software Products.

 

5.8 Support and Maintenance

Awake Solutions may provide technical support, troubleshooting assistance, and maintenance services to Users in accordance with their subscription plan or service agreement. Support may include guidance on using features, resolving technical issues, addressing software bugs, and providing updates or patches for the Software Products. The Company may also perform routine maintenance to ensure optimal performance, security, and reliability of the Services.

Users acknowledge that while the Company strives to provide timely and effective support, availability and response times may vary based on service levels, subscription tiers, or operational considerations. The customer remains responsible for coordinating with Users, implementing recommended fixes, and ensuring that internal systems and integrations comply with the Company’s requirements. The Company is not liable for issues arising from misuse, unauthorized modifications, or failure to follow guidance provided through support channels.

 

5.9 Data Usage, AI Models, and Analytics

Awake Solutions may collect, process, and analyze data generated through the use of its Software Products, including web applications, cloud-based solutions, and AI-powered tools. Termination or suspension may also occur if the Customer fails to pay applicable fees, breaches the license restrictions, or otherwise fails to adhere to the obligations outlined in this Agreement.

Upon termination, the Customer must immediately cease use of the Software Products, remove all copies from their systems, and ensure that any stored or processed data is handled according to the Company’s guidance and applicable laws. The Company may provide notice of suspension or termination, but is not required to do so in cases of serious violations or imminent risk. Users acknowledge that any breach may expose them to civil or legal liability, and the Company reserves all rights to enforce its legal remedies to protect its intellectual property, systems, .

 

5.11 Warranty Disclaimer and Liability

The Software Products provided by Awake Solutions (“the Company”) are delivered “as is” and “as available” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
